1. Agreement to Terms

By accessing or using Grant Nexus ("the Service"), operated by Grant Nexus LLC, a Colorado limited liability company ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including institutional administrators, faculty members, and any other authorized users.

2. Description of Service

Grant Nexus is a software-as-a-service (SaaS) platform that provides:

• AI-powered matching of faculty research profiles to federal grant opportunities
• Database access to federal funding opportunities from sources including Grants.gov
• Faculty profile management and research interest analysis
• Match scoring and recommendation features
• Reporting and analytics tools for research administration

The Service is designed for use by higher education institutions, specifically Directors of Sponsored Programs and research administration personnel.

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activities under your account.

3.2 Institutional Accounts

Institutional subscriptions may include multiple user accounts. The primary account holder is responsible for managing user access and ensuring compliance with these Terms by all users under the institutional account.

3.3 Acceptable Use

You agree not to:

• Share account credentials with unauthorized parties
• Use the Service for any unlawful purpose
• Attempt to reverse engineer or circumvent Service security
• Scrape, copy, or redistribute Service content without authorization
• Interfere with or disrupt the Service or its infrastructure

4. Subscription and Billing

4.1 Subscription Plans

The Service is offered through paid subscription plans. Plan details, pricing, and features are described on our website and may change with notice.

4.2 Free Trial

We may offer a free trial period. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends.

4.3 Payment

Subscriptions are billed in advance on a monthly or annual basis. Payment is processed through our third-party payment processor (Stripe). All fees are non-refundable except as expressly stated in these Terms.

4.4 Price Changes

We may change subscription prices with 30 days' notice. Price changes will take effect at the start of your next billing cycle after the notice period.

5. Data and Privacy

5.1 Your Data

You retain ownership of all data you upload to the Service, including faculty profiles, institutional information, and any other content you provide.

5.2 License to Use

You grant us a limited license to use your data solely to provide and improve the Service. This includes processing data through our AI matching algorithms and storing data on our infrastructure.

5.3 Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

6. Intellectual Property

6.1 Service Ownership

The Service, including its design, features, and underlying technology, is owned by Grant Nexus LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, service marks, or other brand elements.

6.2 Grant Data

Federal grant data sourced from Grants.gov and other public sources remains in the public domain. Our value-added processing, analysis, and presentation of this data is proprietary.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Grant matching recommendations are generated by AI algorithms and are provided for informational purposes only. We do not guarantee the accuracy, completeness, or suitability of any match recommendations. Users should independently verify grant eligibility and requirements.

Grant deadlines and funding amounts displayed in the Service are sourced from third-party databases and may not always be current. Users should verify all critical information directly with the funding agency.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRANT NEXUS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GRANT FUNDING OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Grant Nexus LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Termination

10.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.

10.2 Termination by Us

We may suspend or terminate your access to the Service immediately if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service or other users.

10.3 Effect of Termination

Upon termination, you will lose access to the Service. You may request export of your data within 30 days of termination. After 30 days, we may delete your data in accordance with our data retention policies.

11. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Colorado.
